Part 1 — Waitlist Terms of Use

1. What this is

Synapse Arena (the "Service") is a forthcoming online platform offering simulated ("paper") trading, financial education, and entertainment. By joining the waitlist, you ask to be notified when the Service becomes available and, optionally, to receive related educational content and updates. The waitlist itself provides no trading, no investment service, and no access to the product; it is an email signup.

2. Not Investment Advice

You acknowledge, understand, and agree that:

1. The Company is not an investment adviser, broker-dealer, financial planner, or financial advisor, and is not registered as such with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), any U.S. state securities regulator, the Belgian Financial Services and Markets Authority (FSMA), or any other financial regulatory authority.
2. Nothing provided by the Company — on the waitlist or later in the Service — is, or should be construed as, investment advice, a personal recommendation, a solicitation, or an offer to buy or sell any security, financial instrument, cryptocurrency, or other asset.
3. The Service involves simulated trading only. Any portfolios, trades, AI models, strategies, results, leaderboards, or performance shown are hypothetical and use virtual (not real) money. No real securities are bought or sold, and no real funds are managed.
4. All content is general in nature and identical for all users. It is not tailored to your personal financial situation, objectives, risk tolerance, or needs, and must not be relied upon as if it were.
5. Hypothetical and simulated performance has inherent limitations and does not reflect, predict, or guarantee actual trading results or future performance. Simulated results are achieved with the benefit of hindsight and do not involve real financial risk, real market execution, fees, slippage, or the emotional factors of real trading.
6. The Company does not, and will not via this Service, manage your money, hold your assets, connect to your brokerage accounts, or execute real trades on your behalf.
7. You are solely responsible for your own financial decisions. You should consult a licensed financial professional, and consider your own circumstances, before making any real investment decision. Investing involves risk, including the possible loss of principal.

3. No Performance Promises; Forward-Looking Statements

Descriptions of the planned Service, including any AI models, features, or capabilities, are forward-looking and subject to change or cancellation without notice. We make no guarantee that the Service will launch, launch on any timeline, include any particular feature, or produce any particular result. Any reference to past or simulated performance is not a promise of future outcomes.

4. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to join the waitlist. The Service is intended for users in jurisdictions where simulated-trading and educational content of this kind is lawful. The waitlist is not directed at, and the Service is not offered to, any person in any jurisdiction where doing so would be unlawful.

5. No Solicitation in Restricted Jurisdictions

Joining the waitlist does not constitute an offer or solicitation by the Company in any jurisdiction where such an offer or solicitation is not permitted. We reserve the right to refuse access to, or decline to onboard, any person or any jurisdiction at our discretion.

6. Acceptable Use

You agree not to: (a) provide false information; (b) sign up on behalf of another person without authorization; (c) use the waitlist or any Company communications to offer your own investment advice or to solicit others; (d) scrape, resell, or misuse the Service or its content; (e) use the Service for any unlawful purpose.

7. Intellectual Property

All content, branding, software, AI-model outputs, and materials associated with Synapse Arena are owned by or licensed to the Company. Joining the waitlist grants you no license or ownership rights beyond receiving the communications you signed up for.

8. Communications Consent

By joining, you consent to receive emails from us relating to the waitlist, the launch, and (if you opted in) educational content and updates. You can unsubscribe at any time via the link in any email or by contacting [email protected]. Transactional emails (e.g., confirming your signup) may be sent regardless of marketing preferences.

9. Disclaimer of Warranties

THE WAITLIST AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL LAUNCH, BE UNINTERRUPTED, OR BE ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR INVESTMENT LOSSES, ARISING FROM OR RELATED TO THE WAITLIST OR ANY CONTENT, EVEN IF ADVISED OF THE POSSIBILITY. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING CERTAIN MANDATORY RIGHTS OF EU/BELGIAN CONSUMERS.

11. Indemnification

You agree to indemnify and hold the Company harmless from claims arising out of your breach of these Terms or your misuse of the waitlist or content.

12. Changes to These Terms

We may update these Terms. Material changes will be posted with a new "Last updated" date and version number, and where the change is material we will seek your renewed consent rather than relying on continued use. Continued participation after non-material changes means you accept the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The parties submit to the courts located in Delaware for disputes not subject to mandatory local rules. The mandatory consumer-protection rights of your country of residence (including for EU/Belgian consumers) are not affected by this clause, and nothing here deprives a consumer of protections that cannot be derogated from by agreement.
